Agreement

Genius Unlocked Coaching Institute, LLC is dedicated to the common goal of achieving abundance in your life and business. One way is to clarify our understanding with each other. These are the terms of our binding Service Agreement between: YOU (the “Client”) and Genius Unlocked Coaching Institute, LLC (the “Company”) whose address is 231 Vickery Lane, Gilroy, CA 95020.

GENIUS UNLOCKED COACHING INSTITUTE, LLC:

Together with our team you will have a committed focus on personal growth, certifications, business strategy, and advanced intuition. With consistent concerted effort, you can expect to achieve abundance – obtaining what you desire out of life and powerfully improve your impact on the world through implementation of the provided processes given from Genius Unlocked to the Client. Learning and mastering personal growth and business strategies will dramatically improve your life. Imagine what life will look like after you have worked diligently with the help of Genius Unlocked to achieve abundance in your life and business. The Company and it’s team commit to be a partner in bringing out the best, most authentic, and the truest in you; provide safety, encouragement and support; an environment in which you can create and explore your true genius; expand your view of what is possible and promote discovery of new insights; give you input, straight forward feedback and operate as a sounding board; listen carefully to what you say and ask questions that increase awareness; be an ongoing resource for you in accomplishing your intentions during your program.

1. Authorization

The Client is engaging Genius Unlocked Coaching Institute, LLC for the specific project(s) outlined in the attached Addendum(s). The Addendum(s) will detail all the deliverables from the Company for one or more of their programs. Any additional programs added to this service agreement will be added via an additional addendum(s).

2. Education, Trainings or Workshops

Certain packages consist of education, training or workshops on Neuro-Linguistic Programming, Time Line Therapy®, Hypnotherapy, International Coaching Federation, Usui Reiki & Leadership. Genius Unlocked and partners who will be teaching the workshops in these programs are certified in the above modalities. There may be additional training where their teachings come from personal experience and self-taught methods. The trainings will be recorded and access will be granted to you in your Genius Unlocked Member’s Area. Please see Addendum(s) for a list of trainings and/or classes offered in your package. After the completion of the programs please allow 5 business days for recordings to be available.

These recordings are of your live webinar or live workshops via zoom. If technical difficulties arise from having the ability to actually record your webinar/workshop we will supply you with a generic recording of the class.

Clients acknowledging this Service Agreement understand that workshops and coaching must be prepaid or have a current and active payment plan in good standing, unless special agreements have been arranged in an additional Addendum(s) under this Service Agreement. All training, workshops and coaching will cease if the payment plan is delinquent or in poor standing. In this instance, all calls will be forfeit and not be able to be made up or rescheduled, as well as participation in the live trainings will be suspended until payments are current and in good standing.

There is to be no duplication, video or audio recording or any screen capturing of any content provided by the Company, either in a live, online or recorded setting. Any content that is approved to be shared will be posted in the Client’s Members Area. Any recording, screen capturing, or duplication of any kind will result in immediate cancellation of your program, access revoked to all content and your full payment of the program(s) will still be required.

3. Content Creation (if applicable in your program)

Certain packages consist of creating content where the client is interviewed and their responses are used to create the content in a structure created by the Company. The Company does not guarantee any results from this content creation and is not liable for any results, positive or negative from the content that is created. The client assumes all the risk, as the content is from their interview and is approved by the client before any publication or written or verbal delivery of said content.

4. Video Conferencing

For long distance clients or clients who wish to do this program virtually, we use Zoom. You must have a microphone and speakers to use this service on your computer. If you are participating in a Breakthrough all coaching sessions must be done either in person or via Zoom with the camera on for the duration of the coaching sessions.

There is to be no duplication, video or audio recording or any screen capturing of any content provided by the Company, either in a live, online or recorded setting. Any content that is approved to be shared exclusively with the Client will be posted in the Client’s Members Area.

5. Weekly Calls

Our programs included one or more weekly calls. These calls are scheduled via Zoom and are scheduled on a consistent basis for the duration of your program(s). These calls will be recorded and made accessible to you in the Genius Unlocked Member’s Area. There are times when the calls will be cancelled due to conflicts, illness or other unforeseen circumstances. The Genius Unlocked team will ensure you have the predetermined amount of calls for the program(s) you enrolled in.

The Company, as a business, runs Challenges, Live Training Events, and other events that may conflict and fall on the day and time of the weekly calls. The Company will offer additional times, or extend the weeks of the program to accommodate your program, and the recorded replays are always available in your members area if the adjusted alternate times are conflicting with schedules.

6. Communication

The Genius Unlocked team is committed to your success and therefore has set up a communication procedure for our clients. Customer Care can be contacted via email or text message; customercare@geniusunlocked.coach or 619-289-9369 text. Emails will be checked 2x a day and responded to within 24 hours. The text system will be checked 4x a day and responded to the same business day. If there is an emergency please text the customer care number with your urgent message. Jenn, Carson and the team are not available on their personal cell phone numbers. All communication will be asked to go through customer care or on your scheduled calls with the team members. This ensures your request is answered quickly and with the team aware of the situations. We work together to support you, help each other when the other is busy, and often collaborate on responses so you will get the best and quickest response to support you during your program duration.

7. Private Client Access:

All of the content of your program(s) will be housed in a shared folder on Google Drive and/or in Kajabi in the Client’s member area. Please provide a valid gmail email address – it is recommended, but not required, that you create a gmail address specifically for your program. You will be given access to the Google drive and Kajabi at the start of your program.

8. Certifications:

The Client is responsible for knowing and completing the various qualifications required to receive their certification(s). The Company will provide the Client with a checklist with the requirements for the certification(s) that are detailed on the attached Addendum(s). The Company is not responsible for tracking the Client’s certification requirements, progress or completion of the course and it’s material.

If the Client receives a certification(s) that can then be submitted to the Boards, it is the responsibility of the Client to obtain the Board Certification and the Company does not guarantee that the Client will obtain their Board Certification including the International Coaching Federation.

9. Payment Policy:

The Company offers a full pay price as well as payment plans for all of our programs. If the member chooses to pay in full we will allow the Client 14 days for full pay payments. Payment Plans are detailed in the attached Addendum(s).

All payments must be set up on autopay through Quickbooks.

A 15% late fee for any payments that are more than 10 days late or for declined payments, this fee will be added to the very next payment that is due. After 2 weeks of non-payment all coaching and access will be revoked until payment is current. The cardholder/accountholder agrees to pay with the credit card/ACH on the attached credit card/ACH authorization form in the Addendum(s).

The Client will not receive any of their certifications if they are not current with their payments.

By acknowledging this agreement, you agree to the following terms:

I am willing and able to pay my monthly payments or my full payment to the Company on or before the due date. I understand the amount of my monthly payment and that it will be charged on the same date each month. Any late payments will be subject to a 15% late fee after 10 days of non-payment or for declined payments. If payment is still not made within 2 weeks of the due date, my coaching and consulting is revoked until payment is current. Cardholder agrees to pay with the credit card on the credit card authorization form.

I understand I am receiving the full value of my program in the first month of my coaching program. I understand I am receiving access to Genius Unlocked Coaching Institute, LLC intellectual property, all the training in the membership area, and my onboarding coaching session within the first month and I am liable for full payment of my program(s) on the attached Addendum(s) regardless of circumstance.

I understand that there are No Refunds and all monthly payments will incur a 15% interest rate on all payments that are 10 days late or declined. Cardholder/Accountholder agrees to pay with the credit card/ACH on the credit card/ACH authorization form.

10. Commissions:

If the Client earns any commissions from the Company, all commissions will be applied to any open invoice before paying out any monies. If there are no open invoices the Client will receive commissions on a payout basis. All commissions are credited or paid out on the 15th of the following month of when the transaction took place. Commissions are calculated and based on when and how much the client pays the Company either full pay or payment program. If a client refunds or charges back and a commission has been paid out, the commission will be held-back from the Client’s next commission.

11. Waiver:

Coaching services are not in any way to be construed as, or a replacement for, psychotherapy, legal counsel, or medical advice. The Client is responsible for creating their own decisions and results. The Client agrees not to hold their coach, the Company or any Company we are affiliated with, liable for any outcomes resulting directly or indirectly from the coaching process.

Client understands that the Company is not providing psychological or medical advice and that coaching should in no way replace treatment from a licensed healthcare provider. The Company and its coaches are not licensed Medical Doctors, Psychologists, Psychiatrists or Masters in Family Therapy (MFT). The services you receive are not licensed in this state, nor are they regulated by a governmental body. We will always provide only those services in which we have been trained, and if we find that we cannot help you, we will refer you to a licensed person who can assist you. 

In the event that we include Hypnotherapy, Neuro-Linguistic Programming (NLP), Time Line Therapy® or Energy Work in your program, please regard the following:

I release the Company from any liability whatsoever regarding my hypnotherapy, coaching NLP, Time Line Therapy® or energy work session. Any conclusions that I draw from my session or responses I have are mine and mine alone. I take full and complete responsibility. I understand that these sessions are not psychotherapy but are a therapeutic alternative aimed at creating positive changes in my life.

I agree to inform the Company of all physical or mental conditions that might affect their work with me. I have noted any of the following conditions that may apply to me:

Epilepsy – Alcoholism – AIDS – Drug Dependency – Panic Attacks – Phobias – Psychosis Cancer – Schizophrenia – Clinical Depression – Anorexia – Bulimia – Other

I hereby certify that I do not suffer from any physical or mental disability that might affect my participation in the coaching process, and, if I have any substance abuse issues or mental illness, I have consulted with my attending physical and other health care professionals and have obtained a referral stating that I may participate in the coaching process without risk. I agree that if there is any change in this representation, I will promptly advise the coach in writing and consult my health care professionals.

I understand that if I allude to, verbally or in writing, the fact that I will hurt myself or others my coach will report it to the Company and the authorities as is required by law.

I understand that if I come across, verbally or in writing, the fact that someone else in the Genius Unlocked Coaching Institute, LLC community alludes to the fact they will hurt themselves or others I will contact my coach or the Company immediately.

12. Client’s Responsibilities:

Cultivate a core honesty with yourself; commit yourself to intentions that are truly meaningful and significant to you; be open to feedback and keep the Company honestly informed as to what is and is not working for you during the program, take ownership for your progress and your accomplishments.

Client understands that the results of any coaching will depend on their ability to take action and to follow the program details to the best of their abilities, communicate clearly with the Company and to take responsibility for the results achieved and that the coaches can only facilitate. The responsibility for making the processes work is the Client’s alone as no one else can do the work for them.

Client agrees to share with the Company all issues on which Client may require assistance. Client agrees that issues not shared with the Company may not be resolved or may impede the successful achievement of his/her goals and objectives. The Company agrees to use best efforts/practices to assist Client to resolve issues shared with the Company and also agrees to full confidentiality. Clients are expected to attend events and or participate in coaching sessions. All in person sessions and calls must be completed within the timeline addressed in the attached Addendum(s). Clients are expected to be on time for all calls. If Client calls in late for any coaching session the time missed will be forfeited. In the event that the Client wishes to reschedule the coaching session, Client will notify the Company in writing 48 hours in advance. If less than 48 hours notice the session will be forfeited.

13. Confidentiality:

By acknowledging this agreement, you agree to the following terms:

I understand that I am in a group coaching program and all calls and events, both live and virtual, may be recorded and shared in the back office members’ area of the Company. I understand that any calls I am on, any events I attend and any information I share may be used for training purposes in the members area.

I understand that all calls are held as confidential and will only be shared with those clients in the program. This will include but not limited to, coaching calls, mentor calls, training calls, live events, virtual events and any other communication from the Company. I will not share any information I learn while in the program with anyone outside of the program.

14. Non-Solicitation Agreement:

All “Genius Unlocked Coaching Institute, LLC” clients, coaches, employees, independent contractors or associates are off limits for solicitation, recruiting, engaging and/or enrolling them into your personal business or other outside offers or otherwise attempt to induce an individual to terminate his or her employment, engagement or affiliation with the Company.

The Client shall not, directly or indirectly, disclose to any person, firm or corporation the names or addresses of any of the customers or clients of the Company or any other information pertaining to them. Neither shall you call on, solicit, take away, or attempt to call on, solicit, or take away any customer of the Company on whom you have called or with whom you became acquainted while working with the Company as the direct or indirect result of your engagement with the Company.

The Company has invested in marketing and fulfillment of clients and therefore any violation of these terms is considered stealing and will not be tolerated. This is a typical non-solicitation agreement.

Violation of these terms will result in immediate cancelation of program agreement and you will still be held responsible for the full monies owed to the Company and you will forfeit your coaching certification certificates.

In the rare case that someone wants to do business with you outside of the Company then, prior to any additional conversations or sales, you must notify the Company for approval. If an agreement can be reached there will be a 30% commission due payable to Genius Unlocked Coaching Institute, LLC, and reserves the right to change the commission rate at any time.

15. Intellectual Property:

The Service and its original content (excluding Content provided by users), features, processes, and functionality are and will remain the exclusive property of Genius Unlocked Coaching Institute, LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service outside the Company, without the prior written consent of the Company.

16. Termination:

The Client may rescind and cancel this agreement provided the Company receives written notice of cancellation within 3 calendar days after the execution of the agreement by the Client. Notwithstanding the forgoing in any instance of termination by Client, the Company shall retain a $500 cancelation fee for the retail price of any product or service.

The Company is committed to providing our Client with a positive Program experience. By signing below, you agree that the Company may, at its sole discretion, terminate this Agreement, and limit, suspend, or terminate your participation in the Program without refund or forgiveness of monthly payments if you become disruptive or difficult to work with, if you fail to follow the Program guidelines, or if you impair the participation of Program participants within the Program(s) and/or other client hub locations (Facebook, website comments, group calls, events, etc).

17. Governing Law:

This Agreement and all Addendum(s) have been executed and delivered in the State of California, and the laws of such state shall govern its validity, interpretation, performance, and enforcement.

18. Mediation:

If a dispute arises out of or relates to this contract including but not limited to payment, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure. If the matter cannot be resolved through mediation, the parties will then go to binding arbitration through the American Arbitration Association. Any mediation or arbitration shall take place in San Jose, California.

19. Representation:

The Company has made every effort to accurately describe the program and its potential. As coaching is a dynamic experience with many variables, we cannot and do not guarantee any result monetarily or otherwise. The success of each coaching program depends upon many factors. By signing below, you acknowledge that as with any business venture, there is an inherent risk of capital and there is no guarantee that you will earn any money as a result of participation in the program(s) detailed in the attached Addendum(s).

20. Referral Partners:

The Company does cross-promote other businesses or vendors and at times the Company may receive a commission for referring, sharing, talking about or engaging with a product or service. The Client releases the Company from any and all liabilities if the Client does business with our referral partners and understands that the Company does not guarantee any products or services.

21. Limit of Liability:

Client agrees to use Company’s services at Client’s own risk. Client releases Company, its officers, employers, directors, and related entities from any and all damages that may result from anything and everything. Client accepts any and all risks, foreseeable or unforeseeable. Regardless, if Company is found to be liable, Company’s liability to the Client or to any third party is limited to the lesser of (a) the total fees Client paid to Company, and (b) $1000. All claims against the Company must be lodged with the entity having jurisdiction within 100-day of the date of the first claim or otherwise be forfeited forever/permanently/indefinitely. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening/that occur from the use or misuse of Company’s services or enrollment in the Program.

22.  Broken Item and Refund Policy

If Client receives anything broken or defective in their meditation boxes, they can alert Genius Unlocked within 7 days of receipt at customercare@geniusunlocked.coach with a picture of the broken item. We will send a replacement within 14 business days.

30 Day Refund Policy if the following conditions are met:

  • Send the entire box back at Client’s expense to arrive in like new condition.
  • Proof that client has completed all of Unlocking Intuition (the course material, the meditations, and all the tasking detailed in the modules for that program.

23. Entire Agreement:

This Agreement contains the entire understanding between the parties hereto and supersedes any and all prior agreements between you and the Company.

By checking the box, you are acknowledging that you have read, agree to and accept all of the terms and conditions contained in this agreement. We may amend this agreement by sending you a revised version at the address you have provided above or the email address provided to obtain a new signature from you.

At least Addendum #1 must be attached to this agreement to identify the package agreed on and itemize all details of the work to be completed including costs or additional fees. This agreement is NOT valid unless attached Addendum(s) are signed in conjunction with this agreement.

RELEASE AND DISCLAIMER

The undersigned (“I” or “me”) have been granted access to attend or participate in one or more conferences, seminars, or other programs and events taught by Genius Unlocked Coaching Institute, LLC, a California corporation (“Company”). I may choose to have further contact with a vendor (“Vendor”) which I became associated with at one or more of those programs, and I may engage in a business transaction with or through that Vendor.

I understand and agree that it is my responsibility to perform my own investigation and due diligence of the Vendor and any business transaction or opportunity presented by the Vendor, or a related party of the Vendor. I also understand that I should consult my own financial and legal advisors before I agree to any business relationship transaction, or opportunity, with the Vendor or related parties.

I acknowledge that the Company, its owners, officers, directors, employees, agents and/or affiliates (“Company Parties”), including JennBen.com, Inc. and Carson Cooper Coaching, Inc., do not, as a matter of policy, recommend, endorse, or approve any business relationship or transaction between participants such as me, and vendors at the Company programs or events. Also, I understand that the Company and Company Parties disclaim any responsibility and make no warranty or representation concerning the background, creditworthiness, sophistication, viability or suitability of vendors and their related parties.

I understand and agree that the Company and the Company Parties disclaim all liability, including, but not limited to, any incidental, special, indirect, or consequential damages for loss of profits, loss of savings, business harm, or any other damages or losses arising from, or related to, any business relationship or transaction between me and the Vendor or its related parties.

Accordingly, I hereby release the Company and the Company Parties from any and all liability arising from, or related to, any business relationship, transaction, opportunity, or agreement, however created, between me and the Vendor or the Vendor’s related parties. This Release and Disclaimer is binding upon me, members of my immediate family (including my spouse), and my successors and assigns.

I have carefully read this Release and Disclaimer, understand its contents, and check the box voluntarily, and of my own free will. I have not been offered or promised any money, services, or other consideration or compensation by the Company or the Company Parties in exchange for acknowledging this Release and Disclaimer.
